By accessing our website at prodenix.com, purchasing our hardware wallets or crypto security devices, or using any of our services, you expressly agree to be bound by these Terms, our Privacy Policy, and Cookie Policy. If you do not agree with any part of these Terms, you must immediately discontinue use of our services. Definitions: "Hardware Wallet" refers to our physical cryptocurrency storage devices designed for offline storage of digital assets. "Services" includes our website, customer support, firmware updates, documentation, and all related services. "Products" means all hardware wallets, accessories, and security devices we manufacture and sell. "Digital Assets" refers to cryptocurrencies, tokens, and other blockchain-based assets. "User Account" means the account you create to access certain features of our Services. These Terms apply to all users, including customers, visitors, and anyone who accesses or uses our Services. Products, Services and User Eligibility

Product Description: VaultCoreSecurity designs, manufactures, and sells hardware wallets and security devices for offline storage and protection of cryptocurrency private keys. Our products provide a secure environment for managing digital assets without exposing private keys to internet-connected devices. We provide detailed specifications, features, and capabilities on our website and product documentation. Service Offerings: Our Services include product sales, customer support, warranty service, firmware updates, security patches, educational resources, and technical documentation. We continuously improve our Services and may add, modify, or discontinue features at our discretion. Eligibility Requirements: You must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are accessing Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. User Responsibilities and Prohibited Activities

Your Responsibilities: You are solely responsible for: maintaining the confidentiality of your account credentials and seed phrases; all activities conducted through your account; implementing appropriate security measures to protect your hardware wallet and recovery information; keeping your firmware up to date with our latest security patches; backing up your recovery seed phrase in a secure, offline location; understanding the risks associated with cryptocurrency storage and transactions; complying with all applicable laws regarding cryptocurrency ownership and transactions in your jurisdiction. Prohibited Activities: You agree NOT to: use our Services for any illegal purposes or in violation of any laws; attempt to gain unauthorized access to our systems, networks, or other users' accounts; reverse engineer, decompile, disassemble, or attempt to derive source code from our hardware or software; use our Products or Services to facilitate money laundering, terrorist financing, or other criminal activities; interfere with or disrupt the integrity or performance of our Services; impersonate any person or entity or falsely state or misrepresent your affiliation; collect or harvest information about other users without their consent; use automated systems (bots, scrapers) to access our Services without permission; resell or commercially exploit our Products without authorization; tamper with, modify, or alter the hardware or firmware of our devices in ways that compromise security. Violation of these prohibitions may result in immediate termination of your account and legal action.

Purchase Terms, Pricing and Payment

Order Process: When you place an order through our website, you are making an offer to purchase the products at the stated price. We reserve the right to accept or reject your order for any reason, including product availability, errors in pricing or product information, or fraud concerns. Order confirmation emails do not constitute acceptance; acceptance occurs upon shipping. Pricing: All prices are displayed in the currency specified on our website and include applicable taxes where required by law. We reserve the right to change prices at any time without prior notice, but price changes will not affect orders already confirmed. Prices do not include shipping, customs duties, or import taxes, which are your responsibility unless otherwise stated. Payment Methods: We accept major credit cards, debit cards, bank transfers, and select cryptocurrency payments through secure payment processors. Payment is due at the time of order placement. We do not store your complete payment card information; all payment processing is handled by PCI-DSS compliant third-party processors. Payment Failures: If payment is declined or fails, we will notify you and may cancel your order. You are responsible for ensuring sufficient funds and valid payment information. Taxes: You are responsible for all applicable taxes, duties, and customs fees associated with your purchase. Prices may not include all applicable taxes depending on your location.

Shipping, Returns and Warranty

Shipping: We ship to most countries worldwide through reputable carriers. Shipping times vary by destination and are estimates only; we are not liable for delays caused by carriers, customs, or force majeure events. Risk of loss and title for products pass to you upon delivery to the carrier. You must provide accurate shipping information; we are not responsible for delivery failures due to incorrect addresses. Return Policy: You may return unused, unopened products within 30 days of delivery for a full refund, minus shipping costs. Products must be in original condition with all packaging and accessories. For security reasons, we cannot accept returns of opened hardware wallets or devices with tampered security seals. To initiate a return, contact our customer support. Refunds are processed within 14 business days of receiving the returned product. Warranty: We provide a 2-year limited warranty covering manufacturing defects and hardware malfunctions under normal use. The warranty does not cover: damage from misuse, accidents, or unauthorized modifications; normal wear and tear; loss of data or digital assets (you are solely responsible for backing up your seed phrase); software issues caused by user error or third-party applications. To claim warranty service, contact support with proof of purchase. We will repair or replace defective products at our discretion. This warranty gives you specific legal rights, and you may have additional rights under local consumer protection laws.

Intellectual Property Rights and Licenses

Our Intellectual Property: All content, features, functionality, designs, logos, trademarks, firmware, software, and materials available through our Services are owned by VaultCoreSecurity or our licensors and are protected by international copyright, trademark, patent, and other intellectual property laws. The VaultCoreSecurity name, logo, and product names are trademarks of our company. You may not use our trademarks without prior written permission. Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to: access and use our website for personal, non-commercial purposes; use our hardware wallets and associated software for their intended purpose of securing digital assets; download firmware updates and documentation for use with your products. This license does not include rights to: copy, modify, distribute, or create derivative works from our software or firmware; decompile or reverse engineer our products; remove or alter any copyright, trademark, or proprietary notices; use our intellectual property for commercial purposes without permission. User Content: If you submit feedback, suggestions, or other communications to us, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such content without compensation or attribution. Third-Party Rights: Our Services may contain links or references to third-party content. We do not claim ownership of third-party intellectual property and respect all applicable rights.

Disclaimers and Limitations of Liability

IMPORTANT DISCLAIMERS: OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Cryptocurrency Risks: You acknowledge that: cryptocurrencies are highly volatile and risky; you may lose all or part of your digital assets; we do not control blockchain networks or cryptocurrency values; transactions on blockchain networks are irreversible; regulatory frameworks for cryptocurrencies vary and may change. We are not responsible for any losses resulting from cryptocurrency volatility, network failures, or regulatory changes. Security Limitations: While we implement robust security measures, no security system is impenetrable. We do not guarantee that our Services will be error-free, secure, or uninterrupted. You are solely responsible for maintaining the security of your seed phrase and private keys. Loss of your seed phrase may result in permanent loss of access to your digital assets. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTCORESECURITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE, OR €100, WHICHEVER IS GREATER. Some jurisdictions do not allow limitations on warranties or liability, so these limitations may not apply to you.

Indemnification and Legal Compliance

Regulatory Uncertainty: Cryptocurrency regulations vary significantly across jurisdictions and are evolving rapidly. We do not provide legal or tax advice regarding cryptocurrency ownership or transactions. You should consult with qualified legal and tax professionals regarding your obligations. We reserve the right to modify our Services or restrict access in certain jurisdictions to comply with applicable laws.

Termination, Governing Law and Dispute Resolution

Termination: We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, for any reason, including: breach of these Terms; fraudulent or illegal activity; chargebacks or payment disputes; behavior that harms or could harm other users or our reputation; extended periods of inactivity. Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability) will remain in effect. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Germany (for our headquarters operations), without regard to conflict of law principles. For customers in Austria or Switzerland, mandatory consumer protection laws of those jurisdictions may also apply. Dispute Resolution: For any dispute arising from these Terms or our Services, you agree to first contact us at [email protected] to seek informal resolution. If informal resolution fails, disputes shall be resolved through binding arbitration in Berlin, Germany, under the rules of the German Arbitration Institute (DIS), except where prohibited by local consumer protection laws. The arbitration shall be conducted in English or German. Each party shall bear its own costs.
